1. Introduction

These Terms and Conditions (“Terms”) govern the use of the website Akizavo.com (“Website”) and the purchase of products and services from Akizavo (“we,” “us,” or “our”).

By accessing our Website or purchasing our products (Physical Products, Digital Tools, Gaming/Distribution keys, or Subscriptions), you agree to be bound by these Terms.

3. Products and Services

We offer three main categories of products. Specific terms apply to each category as detailed below:

A. Physical Products

Tangible goods shipped to your address (e.g., merchandise, hardware, accessories).

B. Digital Tools & Subscriptions

Software, downloadable content, templates, or access to online platforms provided directly by us. This includes both one-time purchases and recurring subscription services (“SaaS”).

C. Gaming & Distribution

Activation keys, game licenses, or distribution rights for third-party platforms (e.g., Steam, Epic Games) or our own proprietary games.

4. Ordering and Conclusion of Contract

  1. Order Placement: Placing an order on our Website constitutes an offer to purchase the selected products under these Terms.
  2. Order Confirmation: We will send you an email acknowledging receipt of your order. The contract is formed only when we send a confirmation that the item has been dispatched (for physical goods) or delivered/activated (for digital items and subscriptions).
  3. Pricing: All prices are displayed in the applicable currency and include VAT (if applicable under Czech law), unless stated otherwise. Shipping costs for physical goods are calculated at checkout.

5. Subscription Services

If you purchase a recurring subscription for our Digital Tools, the following terms apply:

  1. Recurring Billing: By purchasing a subscription (e.g., Monthly or Annual Plan), you authorize us to charge your chosen payment method on a recurring basis at the start of each billing cycle.
  2. Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it at least 24 hours before the renewal date.
  3. Cancellation: You may cancel your subscription at any time through your account settings or by contacting us.
    • Effect of Cancellation: Cancellation stops future billing. You will continue to have access to the service until the end of your current paid billing period.
    • No Refunds for Partial Periods: We do not provide refunds or credits for any partial subscription periods or unused time.
  4. Price Changes: We reserve the right to adjust subscription pricing. We will provide you with at least 30 days’ notice of any price changes via email. If you do not agree to the price change, you must cancel your subscription before the new price takes effect.
  5. Free Trials: If you sign up for a free trial, you will be automatically charged for the subscription at the end of the trial period unless you cancel before the trial expires.

6. Payment Terms

We accept payments via the methods displayed at checkout (e.g., Credit Card, PayPal, Bank Transfer). Payment must be completed before physical goods are dispatched or digital content is unlocked. For subscriptions, you agree to keep your payment information current.

7. Delivery and Shipping (Physical Products)

  1. Shipping: We ship to the countries listed on our checkout page. Estimated delivery times are provided for reference only and are not guaranteed.
  2. Risk of Loss: The risk of loss or damage to the goods passes to you when you, or a third party indicated by you, acquire physical possession of the goods.
  3. Customs: For orders shipped outside the EU, you are responsible for any customs duties, taxes, or import fees.

8. Digital Content and Licensing (Digital Tools & Gaming)

  1. License Grant: When you purchase a digital tool or game, you are granted a non-exclusive, non-transferable, revocable license to use the content for personal, non-commercial use (unless a specific commercial license is purchased).
  2. No Ownership: You are purchasing a license to use the software/game, not ownership of the intellectual property rights.
  3. Distribution Keys: If you purchase a game key, it is your responsibility to redeem it on the appropriate platform. We are not responsible for compatibility issues with your specific hardware.

9. Right of Withdrawal and Refunds (EU Consumer Rights)

A. For Physical Products

You have the right to withdraw from the contract within 14 days without giving any reason.

  • Period: The withdrawal period expires 14 days after the day you acquire physical possession of the goods.
  • Procedure: To exercise this right, you must inform us at support@akizavo.com. You must send the goods back to us at your own cost.
  • Refund: We will reimburse all payments received from you, including delivery costs (except specifically chosen expensive delivery methods), within 14 days of receiving the returned goods.

B. For Digital Content & Subscriptions

IMPORTANT: By purchasing digital content (downloads, keys) or starting a subscription service, you expressly consent to the immediate performance of the contract (i.e., immediate access to the tool) and acknowledge that you lose your right of withdrawal once the download or access has begun.

  • Subscription Exception: You may cancel your subscription at any time to prevent future charges, but past payments are non-refundable once the billing period has started.

10. Warranty and Liability

  1. Legal Guarantee: We provide a legal guarantee of conformity for goods for a period of two years (24 months) as required by Czech and EU law.
  2. Limitation of Liability: To the fullest extent permitted by law, Akizavo shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products. Our total liability shall not exceed the amount paid by you for the specific product.

11. User Conduct

You agree not to:

  • Reverse engineer, decompile, or disassemble our Digital Tools or Games.
  • Share, resell, or distribute activation keys or accounts unless explicitly authorized.
  • Use our products for any illegal or unauthorized purpose.

12. Dispute Resolution

  1. Governing Law: These Terms are governed by the laws of the Czech Republic.
  2. Alternative Dispute Resolution: If a dispute arises, consumers in the EU can use the ODR (Online Dispute Resolution) platform provided by the European Commission: http://ec.europa.eu/consumers/odr/.
  3. Jurisdiction: The courts of the Czech Republic shall have exclusive jurisdiction over any disputes.
